We operate this online store and website, including all related information, content, features, tools, products, and services, to provide you with a curated shopping experience (the “Services”). Our store is powered by Shopify, which enables us to deliver these services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when using our Services. Please read them carefully, as they include important information about your legal rights and obligations, including warranty disclaimers and limitations of liability.

These Terms are governed by the laws of Malta and applicable EU consumer protection regulations. Nothing in these terms affects your statutory rights under Maltese or EU law, including your right to receive goods that are of satisfactory quality, fit for purpose, and delivered within a reasonable time.

SECTION 1 – ACCESS AND ACCOUNT

You represent that you are at least 18 years old (the age of majority in Malta and the EU). If you are under 18, you may only use our Services with the involvement and consent of a parent or guardian.

To use the Services, including browsing or purchasing, you may be asked to provide certain information (such as your email, billing, payment, and shipping details). You warrant that all information provided is accurate, current, and complete. The information you provide will be processed in accordance with our Privacy Policy.

You are responsible for maintaining the security of your account credentials and for all account activity. Accounts may not be transferred or licensed to others. We reserve the right to suspend or terminate accounts if the information provided is inaccurate, incomplete, or misleading.

SECTION 2 – OUR PRODUCTS

We strive to provide accurate product descriptions and images. However, colors or product appearance may vary depending on your device settings. Product availability depends on supplier stock, and items may be shipped directly from suppliers, sometimes in separate packages.

We do not warrant that products will meet your expectations or be identical to images. All descriptions are subject to change without notice, and we may discontinue products or limit quantities at our discretion. Nothing in this section affects your statutory rights under Maltese or EU consumer law.

SECTION 3 – ORDERS

Placing an order constitutes an offer to purchase. Orders are accepted only once payment is processed and confirmed. We may decline or cancel orders at our discretion and will notify you using the contact details provided.

Orders may be fulfilled by third‑party suppliers. Purchases are subject to our Refund Policy. In addition to our refund Policy, customers purchasing from within the EU may cancel their order within 14 days of delivery without giving a reason. you must notify us of your withdrawal, then return the goods withing 14 days of your notification. certain items are excempt from this right(such as custom-made or hygiene-sensitive products). 

SECTION 4 – PRICES AND BILLING

All prices are displayed in EUR (€). Unless otherwise stated, prices include VAT in accordance with Maltese law. Posted prices do not include shipping, handling, or customs charges. If products are shipped from outside the EU, you are responsible for any applicable customs duties or import taxes.

You agree to provide accurate and current payment details. You warrant that you are authorized to use the payment method provided and agree to pay all charges, including taxes and shipping.

SECTION 5 – SHIPPING AND DELIVERY

Delivery times are estimates only. While we are not responsible for delays caused by carriers, customs, or events outside our control, you retain your statutory rights under Maltese and EU consumer law if goods are not delivered within a reasonable time.

Risk of loss passes to you once goods are delivered, unless you arrange your own carrier.

SECTION 6 – INTELLECTUAL PROPERTY

All content on our Services (text, images, logos, designs, and trademarks) is owned by Nest&Next, Shopify, or licensors and protected by Maltese, EU, and international intellectual property laws. You may use our Services for personal, non‑commercial purposes only. Unauthorized use is prohibited.

SECTION 7 – OPTIONAL TOOLS

Optional third‑party tools are provided “as is” without warranties. Use is at your own risk and subject to third‑party terms. Nothing in this section affects your statutory rights under Maltese or EU law.

SECTION 8 – THIRD‑PARTY LINKS

Our services may contain links to third‑party websites. We are not responsible for their content, policies, or practices. Please review their terms and privacy policies carefully before engaging in transactions.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Nest&Next is powered by Shopify, but all sales are made directly with Nest&Next. Shopify is not responsible for any aspect of transactions between you and Nest&Next.

SECTION 10 – PRIVACY POLICY

All personal information collected is subject to our Privacy Policy and Shopify’s Privacy Policy. Your data is processed in accordance with GDPR. You have the right to lodge complaints with the Office of the Information and Data Protection Commissioner (IDPC) in Malta. Where data is transferred outside the EU, safeguards such as Standard Contractual Clauses (SCCs) are applied.

SECTION 11 – FEEDBACK

By submitting feedback, you grant us a license to use it for improving and promoting our services. Nothing in this section affects your moral rights under Maltese or EU intellectual property law.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS

We reserve the right to correct errors or cancel orders if information is inaccurate. Nothing in this section affects your statutory rights under Maltese or EU law.

SECTION 13 – PROHIBITED USES

You may not use the Services for unlawful purposes or in violation of Maltese or EU laws. We reserve the right to suspend accounts for misuse.

SECTION 14 – TERMINATION

We may terminate access at any time. Termination does not affect your statutory rights under Maltese or EU law. Certain provisions survive termination.

SECTION 15 – DISCLAIMER OF WARRANTIES

Services and products are provided “as is” without warranties, except as required by law. This disclaimer does not affect your statutory rights under Maltese or EU consumer law.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, we are not liable for indirect or consequential damages. Nothing in this section limits liability for death, personal injury, fraud, or failure to deliver goods as required under Maltese or EU law.

You agree to indemnify Nest&Next and affiliates against claims arising from misuse or breach of these terms.

SECTION 18 – SEVERABILITY

If any provision is unenforceable, the remainder remains valid.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Failure to enforce rights does not waive them. These Terms constitute the entire agreement between you and Nest&Next.

SECTION 20 – ASSIGNMENT

You may not assign rights without our consent. We may assign without notice.

SECTION 21 – GOVERNING LAW

These Terms are governed by the laws of Malta and applicable EU regulations. Disputes will be resolved in Maltese courts.

SECTION 22 – HEADINGS

Headings are for convenience only.

SECTION 23 – CHANGES TO TERMS OF SERVICE

We may update these terms by posting changes. Material changes will be notified in accordance with Maltese and EU law. Changes do not affect orders already placed.

SECTION 25 – CONSUMER PROTECTION COMPLIANCE

Nest&Next complies with the Maltese Consumer Affairs Act (Cap. 378) and applicable EU consumer protection regulations regulated in Malta by the Malta Competition and consumer affairs Authority.

  • We do not include unfair contract terms or engage in unfair commercial practices, including misleading advertising, aggressive sales tactics, or illicit schemes.
  • Consumers have statutory rights to remedies for defective products, including repair, replacement, or refund, in accordance with Maltese and EU law.

  • Disputes may be referred to the Consumer Claims Tribunal or resolved through Alternative Dispute Resolution (ADR), in addition to your right to pursue remedies in court.

  • These protections apply in addition to your statutory rights under Maltese and EU law, which remain unaffected by these terms.

SECTION 26 – RIGHT F WITHDRAWAL PROCEDURE

If you are purchasing from within the EU, you have the right to cancel your order within 14 days of receiving your items, without providing a reason.

To withdraw from your purchase, you must inform us of your decision using one of the following methods:

1. Use our online "Cancel My Contract" button (available from June 19, 2026) in your order confirmation email and customer account area

2. Complete our online withdrawal form at [INSERT LINK - create this form by June 19, 2026]

3. Send a clear written statement to Nest&Next or by post to: The Exchange, Block F, Flat 8, Triq San Ġorġ, San Pawl il-Baħar, Malta

The withdrawal period expires 14 days from the day you (or a third party indicated by you, other than the carrier) acquire physical possession of the goods.

To meet the withdrawal deadline, it is sufficient that you send your communication concerning your exercise of the right of withdrawal before the withdrawal period expires.

If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (except for supplementary costs if you chose a delivery method other than the standard shipping option we offer). We will process your refund without undue delay and in any event not later than 14 days from the day we receive the returned goods.

We will make the reimbursement using the same payment method you used for the initial transaction, unless you have expressly agreed otherwise. You will not incur any fees as a result of the reimbursement.

You must send back the goods or hand them over to us without undue delay and in any event not later than 14 days from the day you communicate your withdrawal to us. The deadline is met if you send back the goods before the 14-day period expires.

You will bear the direct cost of returning the goods to us.

You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

Products Exempt from Withdrawal Right

The right of withdrawal does not apply to:

- Goods made to your specifications or clearly personalized.

- Sealed goods which were unsealed after delivery and are not suitable for return due to health protection or hygiene reasons (e.g., mattresses, hygiene-sensitive electronics).

- Sealed audio or video recordings or sealed computer software which were unsealed after delivery.

- Digital content supplied in non-physical form if performance has begun with your prior express consent and acknowledgment that you lose your right of withdrawal.
